Responsibilities

  • Monitor and Stay Informed on Legislative and Regulatory Changes: - Keep abreast of changes in relevant legislation and regulatory environments affecting the company. Provide regular updates to the management team on developments that may impact the company's operations.
  • Documentation and Compliance: - Ensure meticulous record-keeping of Minutes and Resolutions, maintain an updated register of directors and secretary, ensure all statutory declarations are accurately filed, guarantee timely submission of regulatory reports and letters and also oversee and ensure compliance with statutory filings.
  • Board Meetings and Governance Support: - Organizing and coordinating board meetings and annual general meetings, draft agendas and timetables for board and annual general meetings, prepare the Annual Board Calendar, Workplan, and Training Plan, facilitate the timely dissemination of board papers, support the Company Secretary in the preparation of board papers and other related functions.
  • Governance Document Review: - Conduct regular reviews of governance documents to ensure compliance and relevance.
  • Training and Development: - Collaborate in planning training programs for new and existing directors on corporate governance, duties, and responsibilities, execution of training initiatives aimed at enhancing the corporate governance knowledge of the board.
  • Legal and Advisory Support: - Assist the Company Secretary in providing advice to the Board on legal, governance, accounting, and tax matters.

Qualifications
Qualifications

  • A bachelor’s degree in law/economics/BCOM.
  • A professional certification in accounts like ACCA, CPA will be an added advantage.
  • A professional certification in company secretarial and/or Accredited Governance Auditor.
  • Minimum of 10 years’ relevant experience in either Banking, Insurance or Fintech.
  • In-depth knowledge of regulatory environment and key regulatory guidelines affecting the financial services industry.
  • Problem-solving skills with the ability to analyze complex information to identify the key issue/action and drive resolution.
  • Ability to communicate effectively and confidently, orally and in writing, with stakeholders at all levels of seniority including external stakeholders.
