The Head of Legal & Regulatory Affairs will be a qualified individual who is avid to be part of a team inspired by our belief that everyone deserves the benefits of a modern connected life. They should be able to provide GC Kenya comprehensive commercial legal services and an oversight on all regulatory matters. They should review, draft and negotiate contracts and legal documents. They should also assist with company secretarial matters in conjunction with MTN GlobalConnect (“GC HoldCo”) company secretary and assist with internal and external legal and regulatory stakeholder management.

Key responsibilities: 

Reporting to the Managing Director, the Head of Legal & Regulatory Affairs will be accountable for achieving the following objectives:

  • Provide legal assistance to the various internal and external stakeholders
  • Negotiate, draft, and implement legal agreements
  • Negotiating various agreements inclusive of network infrastructure and submarine cable infrastructure, Master Services Agreements for telecom
  • Manage and provide legal advice and opinions
  • Effective drafting and reviewing of contracts from a qualitative perspective
  • Liaise with network and technology teams in OpCos to understand the fixed infrastructure landscape in the countries and support the maintenance of the fixed asset register
  • Implementing best legal practice as per MTN policies
  • Attend to all legal queries from various departments
  • Attend to any other legal task as assigned by the legal department
  • Provide guidance in respect of compliance with applicable legislation
  • Manage legal, compliance and regulatory risk
  • Manage and monitor corporate governance rules and regulatory issues as per legislative universe
  • Manage and monitor sustainable and ethical corporate practices
  • Co-ordinate and supervise external counsel advice, Internal and external stakeholder management
  • Maintain legal reports and status
  • Partner effectively with GC Kenya’s critical high value customers/vendors to enhance shareholder value
  • Continuously seek self-professional development to sharpen skills and capabilities in a versatile and evolving landscape
  • Build and maintain relationships with key stakeholders and coordinate lobby efforts with the relevant stakeholders
  • Deliver business value through partnership with GC Kenya’s ecosystem partners
  • Provide legal counsel to the various internal and external stakeholders of GC Kenya
  • Advise the organization on possible financial impacts of legislation and regulations
  • Manage the coordination of stakeholder input to achieve optimized results

Education:

  • Minimum of 4-year degree in Law, Bachelors in Law (Hons)
  • Business Administration (advantageous) (specialization- Legal, Risks, Regulatory affairs, Economics, or related field).
  • Master of Law, Master’s in Business Administration, or relevant Master’s degree is advantageous
  • Relevant certification / accreditation / membership with legal bar council or legal professional body as required

Experience:

  • Minimum of 6- years working experience which includes:
  • Commercial/Corporate Law experience in a large local law firm or an international law firm or inhouse legal
  • Worked across diverse cultures and geographies
  • Experience in telecom environment
  • Experience drafting and negotiating transactions involving the procurement, development, licensing and support of technology products and services, and intellectual property (NE40)
  • Experience in multi-country network solutioning
  • Experience on technical specification and procurements processes

Competencies:

  • In-depth knowledge of laws and regulations
  • A working knowledge of business practices and working knowledge of IT tools for business
  • Effective oral and written communications
  • Work under pressure -Attention to detail -Team player
  • Organized and self-motivate
  • High communication and presentation skills to efficiently manage partners, customers, and colleagues within MTN

Key Deliverables:

  • KPI’s / targets as set by Managing Director (GC Kenya), GM Legal & Regulatory MTN GlobalConnect and Managing Director (GC Kenya)
  • Support to internal and external stakeholders
  • Management of legal services to support GC Kenya functions.
  • Completion of transactions/projects on schedule and within agreed budgets
  • Compliance with legal and regulatory requirements
  • Legal and regulatory risk reporting
  • Assistance on corporate secretarial matters per compliance calendar and as per company requirements
